1. Services and Contracts
GOODBALLET GLOBAL HOLDINGS LLC provides professional video production services. The specific scope of work, deliverables, timelines, and costs for any project will be governed by a separate, signed Master Services Agreement (MSA) or Statement of Work (SOW). In the event of a conflict between these Terms of Service and an executed SOW, the terms of the SOW shall prevail. All transactions and pricing are conducted in United States Dollars (USD).
2. Payment Terms
Payment schedules are dictated by the project's SOW. Typically, a non-refundable deposit is required to commence pre-production. Final deliverables will not be released to the client until all outstanding balances have been paid in full. Late payments may incur interest charges as specified in the individual agreement.
3. Intellectual Property Rights
Unless otherwise agreed upon in writing within the SOW, GOODBALLET GLOBAL HOLDINGS LLC retains the copyright and all intellectual property rights to the raw footage, project files, and unedited materials created during production. Upon full and final payment, the client is granted a perpetual, non-exclusive license to use the final edited deliverables for the purposes explicitly stated in the SOW. We reserve the right to use completed projects for our portfolio, marketing, and promotional purposes unless a Non-Disclosure Agreement (NDA) prohibits such use.
4. Client Responsibilities
Clients are responsible for providing clear instructions, necessary brand assets, approvals, and feedback in a timely manner. Delays in client feedback may result in corresponding delays to project delivery timelines. Clients warrant that they hold the necessary rights and permissions for any third-party materials (e.g., logos, music, specific locations) they supply to us for inclusion in the project.
5. Limitation of Liability
To the maximum extent permitted by applicable law, GOODBALLET GLOBAL HOLDINGS LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use our services; (b) any conduct or content of any third party; or (c) any unauthorized access, use, or alteration of your content.
6. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Missouri.
